Terms of Service

By accessing or using the Brainsmithy website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Brainsmithy, LLC provides AI automation, custom software development, and related consulting services. The specific scope, deliverables, timeline, and pricing for each project are defined in individual project agreements or statements of work.

• Provide accurate and complete information necessary for project execution
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the rights to any content, data, or materials provided to us
• Comply with all applicable laws and regulations

Upon full payment, clients receive ownership of custom-developed deliverables as specified in the project agreement. Brainsmithy retains ownership of proprietary tools, frameworks, and methodologies used during development. We may use anonymized project descriptions in our portfolio unless otherwise agreed.

Payment terms are specified in individual project agreements. Late payments may result in project suspension. All fees are non-refundable unless otherwise stated in the project agreement.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of the service agreement.

Brainsmithy's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

Either party may terminate a project agreement with 30 days written notice. The client is responsible for payment of all work completed up to the termination date. Brainsmithy will deliver all completed work product upon final payment.

You may not use our website for any unlawful purpose, attempt to gain unauthorized access to our systems, or interfere with the proper functioning of our website. Content on this site is for informational purposes and does not constitute professional advice.

We reserve the right to update these terms at any time. Material changes will be posted on this page. Continued use of our services after changes constitutes acceptance of the updated terms.

These terms are governed by the laws of the State of Colorado. Any disputes shall be resolved in the courts of Colorado.
